These Custom Order Terms of Service ("Custom Order Terms") govern all bulk and custom orders placed with Miner Strong LLC ("Miner Strong," "we," "us," or "our"). Custom orders include, but are not limited to, orders involving custom logos, embroidery, screen printing, branded embellishments, custom colorways, non-catalog specifications, or quantities requiring a formal quote.

These Custom Order Terms supplement and are incorporated into our general Terms of Service, Refund Policy, Shipping Policy, and Privacy Policy. By submitting a custom order quote request, accepting a custom quote, or making any payment toward a custom order, you agree to be bound by these Custom Order Terms.

If any provision of these Custom Order Terms conflicts with our general Terms of Service, these Custom Order Terms control with respect to your custom order.

1. Quote Requests and Acceptance

1.1 Quote Process

When you submit a custom order quote request through our website or otherwise contact us for a custom quote, you are making an inquiry only, not placing an order. We will respond with a written quote outlining pricing, quantities, product details or specifications, artwork requirements, estimated production timeline, deposit/payment terms, and any other applicable terms.

Timelines communicated for quote response (including on our website, in marketing materials, or elsewhere) are estimates only and are not guaranteed. Actual response time may vary based on the complexity of your request, current volume of quote requests, timeliness of your communication and provision of necessary information (e.g., artwork, quantities, specifications, or clarifying details), and other operational factors. Miner Strong is not liable for any delay in providing a quote response, and no delay in quote response shall constitute a breach of any agreement between you and Miner Strong.

1.2 Quote Validity

Quotes are valid for 30 days from the date issued unless a different validity period is stated on the quote. After expiration, prices, timelines, and terms may change based on current material costs, production capacity, and other factors.

1.3 Order Acceptance

No custom order exists until (a) you accept the quote in writing (email confirmation is sufficient) AND (b) you have paid the required deposit to start production or full payment specified in the quote. Miner Strong reserves the right to decline any quote request or refuse to accept any order at our sole discretion.

1.4 Minimum Order Quantity

Miner Strong's minimum order quantity (MOQ) for custom orders is 12 units per unique product design unless otherwise specified in your quote. A "unique product design" means any variation in garment color, reflective strip color, logo artwork, logo placement, decoration method, or other production specifications that require a separate manufacturing setup, as determined by Miner Strong. Size variations within the same product design do not create separate designs. Orders that fall below the MOQ per unique product design may be declined at our discretion.

2. Payment Terms

2.1 Payment Structure

Payment terms will be specified on your quote. 100% payment upfront is required unless otherwise specified in your quote. Miner Strong reserves the right to determine the payment structure for each order based on order size, customer history, and other factors.

2.2 Logo and Design Setup Fee

A one-time logo and design setup fee of $85 per logo ("Artwork Fee") applies to all custom orders. This fee covers artwork preparation and internal file setup.

• The setup fee applies per unique logo.

• Artwork Fees are non-refundable once any payment for the Artwork Fee has been made, even if the order is subsequently cancelled.

2.3 Non-Refundable Payments

Consistent with our Refund Policy, all payments made toward a custom order are non-refundable once production has commenced or any payment towards the custom order has been made. Production is considered commenced upon any of the following: (a) artwork preparation for your specific design; (b) sourcing fabric or materials; (c) initial sample production; or (d) any other activity we undertake specifically for your order.

2.4 Payment Prior to Shipment; Late Fees

Payment in full is required prior to shipment of any custom order unless a separate written agreement between you and Miner Strong provides otherwise. Miner Strong is under no obligation to ship, release, or continue production on any order for which required payment has not been received in full.

If any payment is past due, regardless of duration, Miner Strong reserves the right to delay shipment, place the order on hold, suspend production, or cancel the order at any time. Deposits paid on cancelled orders are forfeited.

If any payment remains unpaid 30 days after its due date, a late fee equal to 5% of the past-due balance will be applied. This late fee is in addition to all other rights and remedies available to Miner Strong.

2.5 Sitewide Discounts Do Not Apply

Sitewide discounts, promotional codes, and general marketing offers do not apply to custom orders unless expressly stated on your quote.

3. Artwork, Design Approval, and Customer Responsibilities

3.1 Customer-Provided Artwork

If you provide logos, artwork, designs, text, or other materials to be used in your custom order ("Customer Artwork"), you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions to use the Customer Artwork;

• Your use of the Customer Artwork, and Miner Strong's production of goods incorporating the Customer Artwork, does not infringe upon any third party's intellectual property rights, rights of publicity, or other rights;

• The Customer Artwork does not contain content that is defamatory, obscene, unlawful, or otherwise objectionable.

You agree to indemnify, defend, and hold harmless Miner Strong from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to the Customer Artwork or its use in your order.

3.2 Design Proofs

Before production begins, Miner Strong may provide one or more design proofs for your review at our discretion. Proofs may be digital mockups, physical samples, or both, depending on the order specifications.

You are solely responsible for reviewing and approving all proofs (when provided) and all specifications outlined in your accepted quote before production commences. Your approval (which may be given by email, text, written confirmation, or by any payment towards the order) constitutes your acceptance of the design, colors, sizing, placement, spelling, and all other specifications shown on the proof or included in your accepted quote.

Miner Strong is not liable for any errors, omissions, or discrepancies that were present in an approved proof or in your accepted quote. This includes but is not limited to spelling errors, incorrect logos, wrong colors, misplacement, or incorrect sizing that was visible at the time of approval or payment.

3.3 Revisions

Design proof revisions are handled on a case-by-case basis. In most cases, 1-2 revisions are provided at no additional charge. Additional revisions may incur charges at Miner Strong's discretion.

3.4 Sample Production

We offer $200 samples with your custom logo (the one-time $85 Artwork Fee is included in that $200 fee). If you proceed with a custom order, $115 is credited to your custom order. If you desire more than one sample, each additional sample is $115 per unit. If you do not move forward with the custom order, sample fees are non-refundable. They are only credited toward a custom order if you proceed to place an order meeting the MOQ set forth in Section 1.4.

Miner Strong reserves the right to waive, discount, or otherwise adjust sample fees on a case-by-case basis at our sole discretion, including for large-volume orders.

4. Production, Timelines, and Tolerances

4.1 Production Timelines Are Estimates Only

All production timelines and delivery dates provided in quotes, communications, or elsewhere are estimates only and are not guaranteed. Estimated production timelines start from the date of receipt of full payment or the deposit required to start production, but actual timelines may vary based on order size, complexity, material availability, production capacity, and how long after receiving the timeline estimate you take to make the payment.

Miner Strong will make commercially reasonable efforts to meet quoted timelines but shall not be liable for delays caused by any factor, including but not limited to: material availability, supplier delays, shipping carrier delays, customs processing, force majeure events, or delays in your payments.

4.2 Rush Orders

If a specific delivery deadline is critical to your order, you must inform us in writing prior to quote acceptance so we can either (a) confirm feasibility and add a rush fee to the quote, or (b) decline the deadline commitment. No delivery date is guaranteed on a rush order agreement, but we do all we can to meet the timeline.

4.3 Color and Material Variations

Due to the nature of textile manufacturing, minor variations in color, texture, dye lot, thread color, and material finish are normal and are not considered defects. Screen displays and printed color swatches may not exactly match final production.

4.4 Sizing

You are responsible for specifying and confirming the size breakdown for your order. Miner Strong is not responsible for orders that don't fit as expected.

5. Marketing and Portfolio Rights

5.1 License to Miner Strong

You grant Miner Strong a perpetual, worldwide, royalty-free, sublicensable license to photograph, film, reproduce, display, and use images and depictions of the finished custom garments produced under your order for the following purposes:

• Portfolio and case study displays;

• Marketing, advertising, and promotional materials, including social media, LinkedIn, Instagram, TikTok, and other platforms;

• Website features and category imagery;

• Video content, including advertisements, tutorials, and behind-the-scenes content;

• Print materials, trade show displays, and pitch decks;

• Any other promotional or business development purposes.

This license covers the physical garment as well as any designs, logos, embroidery, embellishments, or custom features Miner Strong applied to the garment. This license does not grant Miner Strong ownership of your intellectual property and does not give Miner Strong the right to sell any merchandise with your logos or trademarks; you retain all rights to your underlying logos and artwork.

5.2 Confidentiality Requests

If your order involves confidential branding, unreleased designs, or otherwise sensitive material and you wish to restrict Miner Strong's marketing use, you must notify us in writing before any payment is made towards the custom order, including but not limited to, the one-time artwork setup fee. We reserve the right to deny doing the order or to agree to work with you in good faith to establish appropriate confidentiality terms, which may include:

• A time-limited hold on public marketing use (e.g., 6–12 months from delivery);

• Redaction of identifying elements from marketing imagery;

• Exclusion of specific images from marketing use; or

• A negotiated confidentiality agreement.

Absent a written confidentiality arrangement made at the time of quote acceptance, the license in Section 5.1 applies in full, and Miner Strong reserves the right to feature the finished work in our marketing materials.

5.3 Attribution and Identification

Miner Strong may, but is not required to, identify you or your organization by name in marketing materials. If you prefer your business not to be identified by name, you must request anonymity in writing and you must receive written confirmation that Miner Strong accepts your request before any payment towards your custom order is made, otherwise, the license in Section 5.1 applies in full, and Miner Strong reserves the right to feature the finished work in our marketing materials even when it identifies your business in any way, shape, or form.

6. Customer Testimonial Rewards Program

6.1 Program Overview

As a thank-you to our custom order customers, Miner Strong offers a one-time credit toward a future custom order in exchange for approved images and/or video testimonials showcasing your crew in the custom order gear Miner Strong made for you. This program is entirely voluntary and is not a condition of purchase.

6.2 Credit Tiers

Credits are awarded at Miner Strong's sole discretion based on the quality, usability, and marketing value of submitted content:

Credits are applied to your next custom order and expire 24 months from the date awarded. To use the Credit, you must order at least 24 units on the next custom order you wish to apply the credit to. Credits are non-transferable and have no cash value. They can only be used/claimed on a custom order made with us specifically by the customer we give the credit to (the credit is a one-use credit period, and cannot be used more than once regardless of the person who uses it). It is your responsibility to ensure the credit is used by an authorized person.

6.3 Submission Requirements

To be considered for credit, submissions must:

• Feature the custom order that Miner Strong made for you as the visible product;

• Be original content owned or authorized for use by the submitting party;

• Be of reasonable technical quality (in-focus, adequate lighting, appropriate resolution);

• Not depict any illegal, unsafe, or objectionable activity;

• Be free from visible logos, branding, or advertisements of Miner Strong competitors.

6.4 License to Miner Strong

By submitting any image, video, or other content under this program (whether or not a credit is ultimately awarded), you grant Miner Strong a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, distribute, and display the content in any medium for any purpose, including advertising, marketing, product displays, and social media.

You represent and warrant that:

• You own or have obtained all necessary rights to submit the content;

• You have obtained all necessary permissions and releases from any individuals identifiable in the content, including model releases for right-of-publicity purposes;

• The content does not infringe upon any third party's intellectual property, privacy, or other rights.

6.5 Approval Discretion

Miner Strong reserves the sole discretion to determine whether submitted content qualifies for a credit, which tier of credit applies, and whether to use the content in any manner. Miner Strong is under no obligation to award credit for any submission, use any submitted content, or provide feedback on rejected submissions.

7. Shipping, Delivery, and Risk of Loss

7.1 Customer Responsible for All Shipping Costs

For all custom and bulk orders, you are solely responsible for all shipping fees, freight charges, customs duties, taxes, tariffs, brokerage fees, and any other associated charges incurred during shipment.

If your quote does not specify a shipping cost, shipping has not yet been quoted and will be calculated separately based on final order dimensions, weight, destination, and preferred method. You will be notified of shipping costs before shipment and will be responsible for payment prior to release.

7.2 Shipping Method

Shipping methods and carriers for custom orders will be decided at Miner Strong's discretion unless discussed and agreed upon with you during the order process. Available methods may include standard ground freight, expedited freight, LTL freight, or air freight depending on order size and urgency.

7.3 Delivery Estimates

Delivery timelines provided by shipping carriers are estimates only. Miner Strong is not responsible for delays caused by carriers, weather, customs processing, or events outside our control.

7.4 Risk of Loss

Title and risk of loss for all custom orders pass to you upon our tender of the order to the shipping carrier. Damage or loss in transit is subject to the carrier's claims process. We will provide documentation to assist you in the event that any claim needs to be made.

7.5 Shipping Address

You are responsible for providing a correct, complete shipping address. Miner Strong is not responsible for orders shipped to addresses provided or confirmed by you. Re-shipment due to incorrect addresses will incur additional charges.

8. Cancellation

8.1 Cancellation by Customer

Custom orders cannot be cancelled once any payment for the custom order has been made. All payments become non-refundable at the point they are paid whether or not they have finished processing or have deposited into any account. If no payment has been made by you towards the custom order, the custom order is not considered accepted unless a separate written agreement is made in writing.

8.2 Cancellation by Miner Strong

Miner Strong reserves the right to cancel any custom order at our discretion if we determine that (a) the order cannot be produced as specified, (b) the Customer Artwork is problematic (e.g., infringement concerns), (c) the customer is in breach of these Terms, or (d) other legitimate business reasons apply.

9. Defects and Discrepancies

Defect and discrepancy claims for custom orders are governed by our Refund Policy. In summary:

• You must notify us in writing within 5 business days of receipt;

• You must provide detailed information and clear photographic evidence;

• Miner Strong will determine, at our sole discretion, whether a defect or error exists;

• Remedies may include repair, replacement, or partial credit, at our discretion;

• Minor variations within industry tolerances are not defects.

10. Design Storage and Reorders

10.1 Artwork Retention

Miner Strong retains customer artwork files, digitized embroidery files, screens, and production specifications for 24 months from the date of your payment for the one-time artwork fee or your last custom order (whichever is later). While we intend to retain customer files indefinitely, after this 24-month period, we may (but are not required to) archive or delete files at our discretion. In the event that your file becomes unavailable to us within the 24 month period, we will cover the new one-time artwork fee. If we do not have your prepared logo on file after 24 months of your payment for the one-time artwork fee or your last custom order (whichever is later), you are responsible for paying the new one-time artwork setup fee.

10.2 Reorders

Reorders of previously produced designs are welcome and typically enjoy expedited setup (potentially faster turnaround). However, reorders are subject to current pricing, material availability, and production capacity at the time of the reorder request (any or all which may change at any time at Miner Strong's sole discretion).

11. Communications: Phone, Text, and Email

11.1 Consent to Contact

By submitting a custom order quote request, accepting a custom quote, or otherwise providing your contact information to Miner Strong in connection with a custom order, you consent to be contacted by Miner Strong via email regarding your quote and order. If you select "call" or "text" as a preferred communication method on any Miner Strong form, or if you initiate contact with us via phone or text, you further consent to be contacted by manual (non-autodialed) phone calls or text messages at the number you provided, for purposes directly related to your quote, order, or inquiry.

11.2 Non-Promotional Nature

Communications initiated by Miner Strong in response to your quote request or order are non-promotional and are limited in purpose to your specific quote, order, or inquiry (e.g., clarifying design details, ensuring you're aware of similar, related, or complementary or relevant products and options (ex. our ANSI 3 products if you chose Standard Reflective), coordinating proof approval, arranging shipping, addressing questions).

11.3 Message and Data Rates

Standard message and data rates from your wireless carrier may apply to any calls or text messages. Miner Strong is not responsible for carrier charges. Frequency of communications varies based on the nature of your order.

11.4 Opt-Out

You may opt out of phone or text communications at any time:

• Text opt-out: Reply STOP to any text message from a Miner Strong-associated number.

• Call opt-out: Verbally request during a call, or email info@minerstrong.com.

Opt-out requests will be honored within 10 business days as required by federal law. Opting out of phone or text communications does not affect email communications regarding your active custom order or any other order.

11.5 Separate Terms for Marketing

Miner Strong does not use quote request contact information for marketing purposes without separate express consent. If you wish to receive promotional communications, you may opt in through our marketing subscription channels (which are governed by a separate SMS marketing consent). 12. Confidentiality (Miner Strong Obligations)

Miner Strong will treat your customer information, order details, and any confidential materials you designate as such with reasonable care and will not disclose such information to third parties except:

• As necessary to fulfill your order (e.g., to production partners, shipping carriers);

• As required by law or valid legal process;

• As permitted or required under our Privacy Policy;

• With your consent.

If your order involves particularly sensitive confidential information, you may propose a separate written confidentiality or non-disclosure agreement. Any such agreement is effective only if Miner Strong expressly accepts it in writing. Absent our written acceptance, no confidentiality or non-disclosure obligation applies to Miner Strong. This does not forfeit Miner Strong's rights in Section 5 (Marketing and Portfolio Rights).

13. Force Majeure

Miner Strong shall not be liable for any delay, failure to perform, or partial performance caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government orders or regulations, labor disputes, supplier failures, material shortages, transportation delays, utility outages, cyberattacks, illness, injury, or death of Miner Strong's owners or key personnel, family emergencies or serious illness affecting Miner Strong's owners' or key personnel's immediate family members, or other force majeure events. In such cases, our performance obligations shall be extended by the duration of the delay, and we will make reasonable efforts to notify you of material impacts to your order.

14. Limitation of Liability

To the fullest extent permitted by law, Miner Strong's total liability for any claim arising from or related to a custom order shall not exceed the amount you paid for the specific custom order at issue.

In no event shall Miner Strong be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost profits, lost business opportunities, or damages related to the use or inability to use custom-ordered products.

This limitation applies regardless of the legal theory of liability (contract, tort, warranty, statutory, or otherwise) and applies even if Miner Strong has been advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless Miner Strong and its owners, officers, employees, agents, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your Customer Artwork or its use in your order;

• Your breach of these Custom Order Terms;

• Your violation of any law or third-party right;

• Your use, distribution, or resale of the finished custom order products.

16. Governing Law and Dispute Resolution

These Custom Order Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes arising from or related to these Terms or any custom order shall be brought exclusively in the state or federal courts located in Roanoke County, Virginia, and you consent to the personal jurisdiction of such courts.

17. Modifications

Miner Strong reserves the right to modify these Custom Order Terms at any time. Modifications apply to quotes issued after the modification's effective date. The terms in effect at the time of your quote acceptance govern your specific order.

18. Entire Agreement

These Custom Order Terms, together with the specific quote you accepted, our general Terms of Service, Refund Policy, Shipping Policy, Privacy Policy, and Mobile Communications Terms, constitute the entire agreement between you and Miner Strong with respect to your custom order and supersede any prior discussions, communications, or agreements (whether oral or written).
